Membership Terms & Agreement
Make Well LLC
Last Updated: October 17, 2026
1. Agreement to Terms
These Membership Terms & Agreement ("Agreement") govern membership at Make Well LLC ("Make Well," "we," "us," or "our"), located in Salt Lake City, Utah.
By enrolling in a membership, you agree to this Agreement, the specific conditions of your selected membership, and Make Well's Studio Rules & Housekeeping.
These terms apply to all membership types unless otherwise specified in a separate written agreement.
Make Well's general Website Terms of Service also apply. In the event of a conflict, the more specific membership agreement or accepted membership terms govern the subject matter they address.
2. Membership Plans and Benefits
Make Well offers various membership options with different pricing, benefits, access privileges, and commitment periods.
The specific terms of each membership are disclosed on its respective product page and at enrollment, including:
Membership price and billing frequency
Minimum commitment period, if applicable
Studio access hours and included facilities
Included reservations, discounts, storage, and other benefits
Renewal and cancellation requirements
Any additional membership-specific conditions
These membership details, as presented and accepted at enrollment, form part of this Agreement.
Membership benefits are personal and non-transferable unless expressly approved by Make Well in writing.
Availability of shared facilities and equipment is subject to reservations, capacity, and reasonable operational restrictions.
3. Nature of Membership
Membership grants permission to use designated Make Well facilities and amenities according to the privileges of the selected membership.
Membership does not guarantee exclusive use of shared workstations, equipment, or common areas.
An ordinary shared membership is intended to provide access to shared creative facilities rather than a lease or exclusive possessory interest in the property. Any arrangement involving exclusive private space may require a separate written agreement, and its legal characterization depends on the arrangement and applicable law.
Make Well retains responsibility for managing and maintaining the shared studio.
4. Membership Payments and Billing
Members agree to pay the fees associated with their selected membership according to the billing terms disclosed at enrollment.
By enrolling in a recurring membership, you authorize Make Well's designated payment processor to charge your selected payment method according to the agreed billing schedule.
Monthly billing does not necessarily mean a month-to-month membership. A membership billed monthly may still require a longer minimum commitment, as disclosed at enrollment.
Membership payments remain due during an applicable minimum commitment period, regardless of how frequently the Member uses the studio, except as otherwise provided in this Agreement or required by law.
Members are responsible for maintaining accurate billing information and a valid payment method.
If a payment fails, Make Well may notify the Member and request updated payment information. Continued nonpayment may result in suspension of studio access or termination in accordance with this Agreement.
Suspension for nonpayment does not automatically eliminate amounts already owed under an enforceable membership commitment.
Additional fees must be disclosed and authorized as required by law.
5. Membership Commitments, Renewals, and Cancellations
5.1 Minimum Commitment Periods
Certain membership plans require an initial minimum commitment period, as disclosed at enrollment.
Members agree to pay the membership fees associated with their selected commitment, regardless of how frequently they use the studio.
Memberships may not be terminated early solely because the Member no longer wishes to use the space or experiences a change in personal circumstances.
Early termination does not automatically release the Member from outstanding payment obligations, except where required by law or approved by Make Well in writing.
5.2 Initial Cancellation Window
Members may cancel a newly purchased membership within five (5) calendar days of enrollment for a full refund, provided they have not accessed the studio or used any membership benefits.
Cancellation requests must be submitted in writing to hello@makewell.studio within the five-day period.
Cancellation under this provision releases the Member from the remaining initial commitment.
This provision does not limit additional cancellation or refund rights provided by law.
5.3 Monthly Memberships
For membership plans designated as monthly, any initial minimum commitment must be completed before ordinary cancellation becomes effective.
Following the initial commitment, monthly memberships automatically continue on a month-to-month basis at the agreed monthly rate, subject to any properly notified and effective pricing changes.
No additional fixed-term commitment is created.
After the initial commitment, Members may cancel without an additional advance-notice period or cancellation fee.
To avoid the next monthly charge, a cancellation request must be received before that charge is processed.
Cancellation ordinarily takes effect at the end of the current paid billing period. Members retain their access and benefits through that date unless access is otherwise restricted under this Agreement.
If a cancellation request is received during the initial commitment, it will be treated as notice to end the membership at the conclusion of that commitment, unless the Member requests a later effective date.
5.4 Annual Memberships
Annual memberships offer discounted pricing in exchange for a twelve (12) month commitment, unless a different fixed term is expressly disclosed at enrollment.
An annual membership may be billed monthly or paid in advance, depending on the selected plan. Monthly installments do not reduce the length of the agreed commitment.
Annual memberships do not automatically renew for another fixed term.
Before the end of the current commitment, Make Well will offer Members the opportunity to:
Renew for another annual commitment at the annual rate then offered;
Enroll in an available monthly membership at the applicable monthly rate; or
Allow their membership to expire at the end of the current commitment.
A new annual commitment or conversion to another membership plan requires the Member's affirmative agreement to the applicable price, benefits, billing terms, and commitment.
If no new membership arrangement is accepted, the annual membership ends automatically at the conclusion of the existing term. No further membership fees will be charged.
Members remain responsible for payments due under their existing commitment.
5.5 Cancellation Requests and Confirmation
Members may submit cancellation requests at any time by emailing hello@makewell.studio or through another cancellation method expressly provided by Make Well.
Make Well will confirm the cancellation request, effective termination date, and any remaining payment obligations in writing.
For month-to-month memberships, cancellation will stop future billing once effective.
For annual memberships, no cancellation notice is required to prevent renewal, because the membership expires unless the Member affirmatively accepts a new term.
A request for early termination does not suspend billing or eliminate an existing commitment unless Make Well approves the change in writing or applicable law requires it.
5.6 Early Termination Requests
Members who wish to end a membership before completing their minimum commitment may submit a written request explaining their circumstances.
Make Well may consider early termination requests on a case-by-case basis.
Any approved early termination, reduction of remaining payments, or other exception must be confirmed in writing.
Make Well is not obligated to approve early termination solely because a Member no longer wishes to use the studio, except where required by law.
5.7 Refunds
Membership fees are generally non-refundable for voluntarily unused studio access, reservations, or benefits.
Refunds, credits, or other remedies may be available when:
A Member cancels within the initial five-day cancellation window without using membership benefits;
Make Well materially fails to provide contracted services;
Make Well terminates a membership without cause; or
A refund or other remedy is required by law or expressly approved in writing.
Where Make Well terminates a membership without cause, prepaid fees attributable to the unused portion of the terminated services will be refunded, and no further charges will be imposed for services Make Well elects not to provide.
5.8 Membership Pricing Changes
Membership rates are guaranteed for the duration of the Member's agreed minimum commitment, unless otherwise expressly agreed in writing.
Following the initial commitment, Make Well may adjust membership pricing as follows:
Monthly Memberships
Make Well may adjust monthly membership rates with at least thirty (30) days' advance written notice.
The new rate will take effect no earlier than the first scheduled billing date following the full notice period.
Members may cancel before the new rate takes effect without incurring a new commitment or cancellation fee.
Annual Memberships
Annual membership rates are guaranteed for the duration of each twelve-month commitment.
At the end of that period, Members may renew at the annual rate then offered by Make Well or select another available membership.
Any new rate and commitment must be accepted before renewal.
Promotional and Grandfathered Memberships
Any special pricing guarantees, including founding or promotional membership rates, will be honored according to the specific terms accepted when the membership was purchased.
A discounted rate does not automatically constitute a lifetime pricing guarantee unless expressly stated in the applicable agreement.
Pricing changes will not apply retroactively or alter payment obligations during an existing fixed commitment.
6. Changes to Membership Benefits
Make Well may modify membership offerings and benefits for future enrollments.
Material changes to an existing Member's agreed benefits or access privileges will be handled according to the terms accepted at enrollment and applicable law.
Reasonable operational adjustments may be made as the studio evolves, provided they do not materially deprive Members of contracted benefits without an appropriate remedy.
Where significant changes to a future membership term are proposed, Make Well will communicate those changes before the Member accepts or enters that term.
7. Studio Access and Security
Members may access Make Well only during the hours and under the conditions associated with their selected membership.
Access credentials, including door codes, are issued for individual use and may not be shared, transferred, or distributed without written authorization.
Members agree to:
Follow applicable building access and security procedures.
Keep doors and secured areas properly closed and locked.
Avoid admitting unauthorized individuals.
Use only spaces included in their membership privileges.
Report compromised access credentials promptly.
Follow posted emergency and safety instructions.
Make Well may change access credentials or temporarily restrict access when reasonably necessary for safety, security, or legitimate operational needs.
8. Shared Spaces and Reservations
Make Well is a shared working environment. Members agree to respect other Members' access, activities, reservations, and reasonable expectations of quiet and personal space.
Use of photography studios and other reservable areas is subject to the privileges of the selected membership and confirmed reservations.
Private reservations take priority over shared-use access.
Members must return furniture, equipment, and shared spaces to their required condition after use.
Included reservation credits, where offered, are governed by the specific membership terms.
Unused credits do not automatically roll over or convert to cash unless expressly stated in the selected plan or required by law.
9. Storage and Personal Workspace
Storage privileges vary by membership and are limited to areas expressly assigned or approved by Make Well.
Members must keep supplies, materials, and projects within their designated storage areas unless additional space has been authorized.
Permanent wall space, additional storage, or other dedicated workspace privileges are subject to availability and the applicable purchase or written agreement.
Temporary accommodation for larger works actively in progress may be approved by Make Well, subject to reasonable space and safety limitations.
Members must not permanently occupy shared workstations, floors, walkways, or other common areas without authorization.
Make Well may request the removal or relocation of materials that exceed approved storage limits or interfere with safe and reasonable studio operations.
10. Studio Rules & Housekeeping
All Members must comply with Make Well's published Studio Rules, which are incorporated into this Agreement below.
These rules establish expectations for:
Cleaning and resetting workspaces
Protecting tables, floors, and equipment
Storage and personal belongings
Noise and shared-space etiquette
Guests and children
Food and kitchen use
Safe materials and equipment use
Building access and security
Members are responsible for cleaning up after themselves and their guests.
Make Well may update reasonable operational and safety rules as necessary. Material changes will be communicated to affected Members.
Updates to Studio Rules do not independently authorize changes to agreed membership pricing, commitment periods, or other material financial obligations.
11. Visitors, Children, and Animals
Guests may not use the studio as a workspace. Studio access and working privileges are reserved for paying members and authorized pass holders. Members may not bring friends, collaborators, or other guests to work alongside them unless those individuals have purchased their own access or received prior approval from Make Well.
Members must obtain permission before hosting extended visits, larger groups, or activities outside ordinary membership use. Members are responsible for ensuring their guests comply with applicable studio policies.
Children are permitted only during designated kid-friendly hours or separately approved activities and must remain under direct adult supervision.
Service animals are permitted as required by applicable law. Other animals are not permitted unless Make Well authorizes an exception consistent with applicable law.
12. Personal Property and Artwork
Members retain ownership of their personal artwork, supplies, tools, and equipment.
Make Well does not provide insurance coverage for Members' personal property unless separately agreed in writing.
Members are responsible for securing their belongings and obtaining insurance where appropriate.
To the extent permitted by law, Make Well is not liable for personal property loss or damage except where resulting from Make Well's negligence, misconduct, contractual obligations, or other legally actionable conduct.
Upon membership termination, Members must remove their belongings by the membership's effective end date or another reasonable deadline communicated in writing.
Uncollected property will be handled in accordance with applicable law and any enforceable storage or retrieval terms.
13. Intellectual Property
Members retain all intellectual property rights in artwork, photographs, designs, and other original creative work produced at Make Well, unless otherwise agreed in writing.
Membership does not transfer ownership, copyright, or commercial licensing rights to Make Well.
Any use of a Member's creative work for exhibitions, publications, promotional campaigns, or other commercial purposes will be subject to permissions granted by the Member and any applicable separate agreement.
14. Safety and Member Conduct
Members agree to use the facilities responsibly and comply with applicable safety instructions.
Prohibited conduct includes:
Harassment, threats, violence, or unlawful discrimination
Theft or intentional damage to property
Unauthorized use or removal of equipment
Sharing access credentials or allowing unauthorized entry
Illegal activity
Unsafe use of tools, materials, or facilities
Obstructing exits or creating significant hazards
Repeated or serious violations of studio policies
Members must promptly report accidents, injuries, unsafe conditions, and property damage.
Make Well may take reasonable action to protect Members, staff, visitors, and property.
15. Damage and Additional Cleaning
Members are expected to exercise reasonable care when using the studio and its equipment.
Members may be financially responsible, to the extent permitted by law, for reasonable and documented repair, replacement, or extraordinary cleaning costs arising from their negligence, intentional misconduct, or material violation of studio policies.
Ordinary wear and tear is excluded.
Where additional charges are appropriate, Make Well will provide an explanation of the charges and a reasonable opportunity to address concerns.
No separate damage or cleaning fee will automatically be charged to a saved payment method without appropriate authorization or another lawful basis.
16. Membership Suspension and Termination
Make Well may suspend or terminate membership for:
Material breach of this Agreement
Unresolved nonpayment
Serious or repeated violations of Studio Rules
Harassment, threatening conduct, or significant safety concerns
Unauthorized access or misuse of membership privileges
Theft, intentional damage, or unlawful conduct
For minor violations, Make Well will generally begin with a reminder or opportunity to correct the issue.
Repeated or serious violations may result in written warnings, restricted access, suspension, or termination.
Immediate action may be taken when reasonably necessary to protect people, property, or studio operations.
Any refund, credit, or outstanding financial obligation following suspension or termination will be determined by this Agreement and applicable law.
Make Well may also discontinue a membership offering or terminate an individual membership for legitimate business reasons unrelated to Member misconduct, provided it fulfills applicable notice, refund, and contractual obligations.
17. Studio Closures and Service Interruptions
Make Well may temporarily close or restrict access to the studio or certain areas for maintenance, repairs, safety, emergencies, or other legitimate operational needs.
We will make reasonable efforts to provide advance notice when practical.
Where an interruption materially prevents Make Well from providing agreed membership benefits, appropriate refunds, credits, extensions, or other remedies will be determined under this Agreement and applicable law.
If Make Well permanently ceases operations, it will stop future billing for services it cannot provide and address prepaid, unfulfilled services in accordance with applicable law.
18. Assumption of Risk and Liability Waiver
Use of a shared creative studio may involve inherent risks associated with tools, materials, equipment, and activities conducted on the premises.
Members must follow reasonable safety procedures and use equipment responsibly.
Members may be required to execute a separate Studio Assumption of Risk & Liability Waiver before receiving independent studio access.
This Membership Agreement does not itself release Make Well from claims arising from its own negligence.
Any separate liability release is governed by its express terms and applicable law.
19. Changes to These Terms
Make Well may update these Membership Terms to reflect changes in operations, facilities, or legal requirements.
Updated Terms will be published on the Website with a revised effective date.
Material changes affecting existing contractual rights will be subject to appropriate notice and consent requirements.
Updated Terms will not retroactively change an existing Member's agreed price, minimum commitment, renewal period, or other material financial obligations without a valid contractual or legal basis.
20. Governing Law and Dispute Resolution
This Agreement is governed by Utah law, subject to applicable mandatory protections.
Members are encouraged to contact Make Well directly to resolve concerns before initiating formal proceedings.
Where legally permissible, disputes arising from this Agreement may be brought before courts with appropriate jurisdiction in Salt Lake County, Utah.
21. Severability and No Waiver
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law.
Failure to enforce a provision on one occasion does not constitute a waiver of the right to enforce that provision in the future.
22. Entire Agreement and Acceptance
These Membership Terms, together with the membership-specific details accepted at enrollment, the incorporated Studio Rules & Housekeeping, and any applicable written addenda, constitute the agreement governing membership.
Where the membership-specific terms conflict with these general Terms regarding pricing, access privileges, benefits, commitments, or renewals, the terms expressly accepted at enrollment control.
Members accept this Agreement through the applicable membership enrollment and affirmative acceptance process.
Make Well will maintain records of membership enrollment and accepted terms in accordance with applicable law and its recordkeeping practices.
