1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Make Well LLC ("Make Well," "we," "us," or "our"), governing your access to and use of the website located at makewell.studio (the "Site") and all associated services, memberships, passes, and studio access offered by Make Well (collectively, the "Services").

By accessing the Site or purchasing any product or membership, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access the Site or use the Services.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site, and the "Last updated" date will be revised accordingly. Your continued use of the Site or Services following the posting of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age to use the Site or purchase any Services. By using the Site or completing a transaction, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

3. Memberships and Passes

3.1 General

All memberships and passes sold through the Site are personal and non-transferable unless explicitly stated otherwise or approved in writing by Make Well. Purchases are subject to availability at the time of transaction.

3.2 Included Studio Hours

Included studio hours provided as part of any membership tier reset on a monthly basis and do not carry over to subsequent months. Unused included hours have no cash value and are forfeited upon reset.

3.3 Founding Tiers

Founding membership tiers are offered in limited quantities and close permanently upon the opening of Make Well Studio or upon sellout, whichever occurs first. Founding tier pricing and benefits are locked for the duration of the committed membership term and are not subject to modification.

3.4 Pricing

All prices are listed in U.S. dollars and are subject to change. Price changes will not affect a membership term already in progress. We will provide at least 30 days' advance written notice of any price changes that would affect your next billing cycle.

4. Payment and Billing

All memberships are billed on a recurring monthly basis through Squarespace Payments. By enrolling in a membership, you authorize Make Well to charge your designated payment method on a recurring monthly basis until your membership is cancelled or terminated in accordance with these Terms.

Make Well does not store your full payment card information. All payment data is handled by Squarespace Payments in accordance with applicable payment card industry security standards.

In the event of a failed payment, we reserve the right to suspend access to Services until the outstanding balance is resolved. Chargebacks initiated without a good-faith attempt to resolve the issue directly with Make Well may result in permanent termination of membership.

Day passes and punch passes are charged as a single transaction at the time of purchase.

5. Commitment Periods, Renewal, and Cancellation

5.1 Minimum Commitment Memberships (All-Access and Founding Member)

Certain membership tiers require a minimum commitment period of either three (3) or twelve (12) months, as specified at the time of purchase. You may not cancel these memberships before the end of the applicable minimum commitment period. Monthly charges continue throughout the commitment period regardless of usage.

Upon completion of the minimum commitment period:

  • All-Access (3-month minimum): Your membership will automatically convert to a month-to-month membership at the then-current monthly rate and will continue until cancelled with 30 days' written notice. You may cancel renewal at any time before the renewal date by providing written notice to hello@makewell.studio.

  • All-Access Annual and Founding Member (12-month minimum): Your membership will automatically renew for successive 12-month terms at the then-current annual rate. We will notify you by email no less than 30 days before each renewal date. You may cancel renewal at any time before the renewal date by providing written notice to hello@makewell.studio.

5.3 Early Cancellation

If you cancel a membership before the end of the applicable minimum commitment period, you remain responsible for all monthly charges through the end of that period. Early cancellation does not entitle you to a refund of amounts already charged.

5.4 Cancellation Window After Signup

If you have not yet accessed the studio or redeemed any membership benefits, you may cancel your membership within five (5) calendar days of the date of your initial signup and receive a full refund of any amounts charged. 5.5 Day Passes and Punch Passes

Day passes and punch passes are non-refundable once purchased. Punch pass credits do not expire.

5.6 Cancellation by Make Well — Studio Closure

If Make Well permanently ceases studio operations, we will notify all active members in writing within 14 days of that determination and will not charge any further membership fees beyond the current billing period. Any amount already charged for the current billing period will not be refunded, but no further charges will be made. This obligation survives termination of these Terms.

5.7 Cancellation by Make Well — Conduct

If Make Well cancels a membership due to a violation of these Terms, no refund will be issued for the current billing period. If Make Well cancels a membership for any other reason, you will receive a prorated refund for the unused portion of your current paid period.

6. Studio Access and Conduct

Access to Make Well Studio is a privilege extended to members and pass holders in good standing. By accessing the studio, you agree to comply with all posted house rules and policies, which may be updated from time to time.

You agree not to:

  • Damage, misuse, or remove studio equipment or property;

  • Harass, threaten, or discriminate against staff, members, or guests;

  • Use the studio for any unlawful purpose;

  • Sublicense, resell, or transfer your access to any third party without written approval.

Make Well reserves the right to revoke studio access and terminate membership, without refund, for any violation of these conduct standards or any other provision of these Terms. Such determination is at Make Well's sole discretion.

7. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, and branding, is the property of Make Well LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without prior written permission from Make Well.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MAKE WELL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Studio equipment and amenities are subject to availability and may be modified, temporarily unavailable, or discontinued at any time without notice.

Nothing in this section limits any rights you may have under the Utah Consumer Sales Practices Act or other applicable consumer protection statutes that cannot be waived by contract.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAKE WELL LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.

IN NO EVENT SHALL MAKE WELL'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO MAKE WELL IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO: (A) LIABILITY ARISING FROM MAKE WELL'S GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT; (B) CLAIMS FOR BODILY INJURY OR DEATH CAUSED BY MAKE WELL'S NEGLIGENCE; OR (C) ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING RIGHTS AVAILABLE TO YOU UNDER THE UTAH CONSUMER SALES PRACTICES ACT.

Some jurisdictions do not permit the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Make Well LLC and its members, managers, employees, agents, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah, and you consent to personal jurisdiction in those courts.

12. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity or enforceability of the remaining provisions.

13. Entire Agreement

These Terms, together with any policies incorporated herein by reference, constitute the entire agreement between you and Make Well LLC with respect to the subject matter hereof, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
