1. About These Terms
These Terms of Service ("Terms") govern the use of makewell.studio (the "Website") and the products, facilities, and services offered by Make Well LLC ("Make Well," "we," "us," or "our").
Make Well operates a shared creative studio in Salt Lake City, Utah, and offers services that may include:
Studio memberships and day passes
Photography studio and facility bookings
Workshops, classes, and events
Exhibitions and gallery programming
Original artwork, prints, merchandise, and other products
By completing a purchase, reservation, registration, or other transaction through Make Well, you agree to the terms applicable to that transaction, including these Terms when properly presented and accepted.
Additional Agreements
Certain services are subject to separate agreements or policies, including:
Membership Terms & Agreement
Studio Rules & Housekeeping
Studio Assumption of Risk & Liability Waiver
Specific rental, event, exhibition, or purchase agreements
These additional documents apply when they are presented, incorporated into the relevant transaction, or otherwise accepted.
If a separate agreement conflicts with these Terms, the more specific agreement controls the subject matter it addresses.
2. Eligibility and Accounts
Individuals entering into binding purchase or rental agreements must be at least 18 years old or have appropriate authorization from a parent or legal guardian.
Participation by minors is subject to applicable supervision, registration, and safety requirements.
If you create an account or receive studio access credentials, you are responsible for maintaining their confidentiality and notifying Make Well of suspected unauthorized access.
Accounts, booking privileges, and access credentials may not be transferred, sold, or shared without written authorization.
You agree to provide accurate contact and transaction information and to update it when reasonably necessary.
3. Products, Services, and Availability
Make Well makes reasonable efforts to describe its products and services accurately, including their prices, features, availability, and limitations.
We may correct errors or omissions and make reasonable changes to future offerings.
We may also limit availability or participation based on capacity, staffing, equipment, or legitimate safety and operational considerations.
If a material pricing or description error affects an existing order, we will notify the purchaser and offer the opportunity to proceed under corrected terms or receive a refund.
We will not materially reduce services already purchased without providing an appropriate remedy under the applicable agreement and law.
4. Pricing, Payments, and Taxes
Unless otherwise specified, prices are stated in U.S. dollars.
Applicable sales tax, shipping, and additional charges will be disclosed before purchase as required by law.
Payments are processed through third-party payment providers. Make Well does not independently store complete payment card numbers.
By completing a transaction, you authorize the applicable payment processor to charge the payment method provided for the amount disclosed at checkout.
Recurring charges are governed by the separately accepted membership or subscription terms.
Make Well may decline or cancel transactions involving suspected fraud, unauthorized use, or material payment errors.
Billing questions may be directed to hello@makewell.studio.
Nothing in these Terms restricts rights to dispute unauthorized or incorrect charges under applicable law.
5. Memberships and Studio Passes
Studio memberships and passes are subject to the Membership Terms & Agreement and the specific plan details presented at enrollment.
Those documents govern:
Membership pricing and billing
Minimum commitments and renewals
Cancellation procedures
Studio access and included benefits
Reservations and usage credits
Storage and workspace privileges
Suspension and termination
Members and pass holders must also follow Studio Rules & Housekeeping.
Where required, a separate liability waiver must be completed before studio access is granted.
Memberships and passes generally provide contractual permission to use designated facilities rather than exclusive possession of real property. Individually negotiated private-space arrangements may require separate agreements, and their legal characterization is determined by their actual terms and applicable law.
6. Photography Studio and Facility Rentals
6.1 Reservations
Photography studio and facility bookings are subject to availability, the selected reservation details, and any additional booking terms displayed before purchase.
A reservation grants permission to use the spaces and equipment expressly included in the booking. It does not guarantee exclusive use of other areas of the building.
6.2 Reservation Period
Reservation periods include setup, shooting or other activities, breakdown, and cleanup unless otherwise stated.
Renters must vacate and restore the reserved space by the scheduled end time.
Additional time requires approval and may be charged at the applicable rate disclosed in the booking terms.
6.3 Renter Responsibilities
The person making the booking is responsible for ensuring that their guests, clients, contractors, and other attendees comply with applicable studio policies.
Renters must:
Use the premises and equipment safely.
Follow Studio Rules & Housekeeping.
Return furniture and equipment to their original locations.
Report damage, accidents, and equipment issues promptly.
Obtain required permissions and releases for their own activities.
Comply with applicable laws and building requirements.
Activities involving unusually large groups, significant installations, hazardous materials, or other elevated risks require advance written approval.
6.4 Cancellations and Changes
Booking cancellations, rescheduling, and refunds are governed by the policy disclosed at the time of reservation.
If Make Well cancels a confirmed booking and cannot provide an acceptable replacement, the affected booking payment will be refunded.
Except where required by law or separately agreed in writing, Make Well is not responsible for unrelated expenses incurred by the renter, including hired personnel, travel, or production expenses.
7. Workshops, Classes, and Events
7.1 Registration
Participation in workshops, classes, and events is subject to registration, availability, applicable fees, and any requirements stated in the event description.
Participants agree to follow reasonable instructions related to safety, materials, and conduct.
7.2 Participant Cancellations
Unless a different cancellation policy is expressly disclosed at purchase, workshop and event tickets are non-refundable.
Participants who cannot attend may contact Make Well to request a transfer or credit toward a future event. Such arrangements are subject to availability and Make Well's approval.
Nothing in this section limits refunds or remedies required by law.
7.3 Cancellation by Make Well
If Make Well cancels an event, affected participants will receive a refund of their registration payment or may voluntarily choose an available credit or replacement event.
If an event is materially rescheduled, participants unable to attend the new date may request a refund.
7.4 Independent Instructors
Some workshops and events are organized or conducted by independent instructors or other third parties.
The event description or applicable agreement may identify the responsible instructor or organizer.
Independent instructors are responsible for their own instruction and the activities under their control. Make Well remains responsible for its own obligations and conduct as required by law.
7.5 Event Modifications
Make Well may make reasonable adjustments to event details when necessary.
If a material change substantially alters the purchased experience, participants will receive notice and appropriate options under applicable law.
8. Artwork, Merchandise, and Products
8.1 Product Descriptions
Make Well may sell original artwork, prints, merchandise, handmade goods, and other products.
We make reasonable efforts to accurately describe each item.
Variations in color, texture, finish, and appearance may occur due to display settings, materials, and the handmade nature of certain products.
Minor variations consistent with the product description are not necessarily defects.
8.2 Availability
Inventory is subject to availability.
If an ordered item is unavailable or cannot be fulfilled, the purchaser will be notified and refunded for the unfulfilled item.
8.3 Shipping
Shipping charges, available destinations, and estimated fulfillment times will be communicated during purchase or order confirmation.
Customers are responsible for providing accurate delivery information.
International shipments may be subject to customs duties, import taxes, or other charges imposed by the destination country. Unless expressly included in the purchase price, these charges are the customer's responsibility.
Any transfer of risk of loss during shipment is governed by applicable law and the shipping terms disclosed at purchase.
8.4 Returns and Refunds
Unless a different policy is stated at purchase:
Original artwork is final sale.
Custom-made and personalized products are final sale.
Return eligibility for other products will be disclosed in the applicable product or checkout information.
These restrictions do not eliminate statutory rights concerning defective, damaged, materially misdescribed, or undelivered goods.
Customers should report damaged or incorrect deliveries promptly, preferably within seven days, and provide relevant photographs and order information.
Make Well will evaluate the circumstances and provide an appropriate remedy under the purchase terms and applicable law.
9. Exhibitions and Artwork Sales
Make Well may display, promote, or facilitate sales of artwork created by independent artists.
Exhibition participation, consignment, commissions on sales, insurance responsibilities, installation requirements, payment schedules, and return of unsold artwork are governed by the applicable exhibition or consignment agreement.
Participation in an exhibition does not automatically transfer copyright or reproduction rights to Make Well.
Artists retain ownership of their intellectual property unless a separate written agreement provides otherwise.
Where Make Well processes an artwork sale, applicable sales commissions, fees, and payment arrangements will be disclosed in the artist's separate agreement.
10. Studio Conduct and Housekeeping
All individuals using Make Well facilities must comply with applicable Studio Rules and reasonable instructions concerning safety and operations.
Prohibited conduct includes:
Harassment, threats, violence, or unlawful discrimination
Theft or intentional property damage
Unsafe or unauthorized use of equipment
Unauthorized access or sharing of access credentials
Unlawful activity
Material disruption of other users' reasonable access
Repeated or serious violations of studio policies
Make Well may require corrective action, restrict access, or terminate services when reasonably justified by the nature or severity of a violation.
Immediate protective action may be taken where necessary for safety or security.
Any cancellation consequences and financial obligations remain subject to the applicable agreement and law.
11. Damage, Cleaning, and Personal Property
Customers, members, renters, and participants must use the premises and equipment with reasonable care.
An individual may be responsible for reasonable, documented repair, replacement, or additional cleaning costs caused by their negligence, intentional misconduct, or breach of applicable rules, to the extent permitted by law.
Ordinary wear and tear is excluded.
Make Well will provide an explanation of any proposed charges and a reasonable opportunity to raise concerns.
Separate charges will not automatically be made to a stored payment method unless the customer has authorized such charges or another lawful basis exists.
Make Well does not provide insurance for personal belongings, art supplies, equipment, or artwork unless expressly agreed in writing.
Individuals should arrange appropriate insurance for valuable personal property.
Nothing in these Terms excludes Make Well's responsibility for loss or damage attributable to its own negligence or other legally actionable conduct.
Items left after a reservation, event, or membership termination must be retrieved in accordance with applicable policies. Handling, storage, or disposal will comply with applicable law.
12. Intellectual Property
12.1 Make Well Content
Content owned by Make Well, including its logos, branding, Website text, graphics, and original marketing materials, is protected by applicable intellectual property law.
You may not reproduce, distribute, license, or commercially exploit protected Make Well content without permission, except as permitted by law.
12.2 Artist and Creator Rights
Artists, photographers, instructors, and other creators retain ownership of their original creative work unless a separate written agreement provides otherwise.
Using Make Well's facilities does not transfer copyright or other intellectual property rights to Make Well.
12.3 Promotional Use
Make Well may display or promote artwork, photographs, or other creative material only within the scope of permission granted by the relevant rights holder or as otherwise permitted by law.
Participation in a membership or event does not grant Make Well unrestricted rights to reproduce, sell, license, or commercially exploit a creator's work.
Make Well will not use an artist's work for artificial intelligence model training without separate authorization.
12.4 Third-Party Rights
Customers and participants are responsible for obtaining any necessary permissions for copyrighted or otherwise protected materials used in their own activities.
13. Photography and Recording
Make Well may photograph or document studio activities, events, and exhibitions.
Where identifiable individuals or protected creative works are intended for promotional use requiring permission, Make Well will obtain appropriate consent or rely on another lawful basis.
Customers and participants must respect the privacy and rights of others when photographing or recording within the studio.
Recording or photographing another person's work, activities, or likeness does not automatically authorize publication or commercial use.
Separate photography or publicity releases may apply to particular events or projects.
14. Health and Safety
Creative studio activities may involve risks associated with tools, equipment, art materials, electrical devices, furniture, and shared work environments.
All participants must follow applicable safety rules and use equipment only when they can do so safely.
Certain activities or access privileges require a separately executed liability waiver.
These Terms do not independently release Make Well from claims arising from its own negligence.
Any liability release is governed by its separate written terms and applicable law.
15. Third-Party Services
Make Well uses third-party services that may include payment processors, booking platforms, website hosting providers, and independent instructors.
Those providers may have separate terms and privacy policies.
Make Well is not responsible for the independent acts or systems of third parties beyond its legal responsibilities.
16. Website Use
You agree not to misuse the Website or interfere with its security or operation.
Prohibited activities include:
Unauthorized access to accounts or systems
Introducing malicious software
Fraudulent transactions or impersonation
Interference with Website operation
Unlawful use of protected content
Automated activity that materially disrupts the Website
Make Well may take reasonable measures to protect its Website and users.
17. Privacy and Communications
Personal information is handled in accordance with Make Well's Privacy Policy.
Make Well may send necessary communications relating to purchases, reservations, memberships, operational changes, safety, and policy updates.
Marketing communications will comply with applicable law and unsubscribe preferences.
Opting out of marketing does not prevent necessary transaction-related communications.
18. Closures and Service Interruptions
Make Well may temporarily restrict access or suspend operations when reasonably necessary due to maintenance, building issues, emergencies, safety concerns, or circumstances outside its reasonable control.
We will make reasonable efforts to notify affected customers when practical.
Credits, refunds, extensions, or other remedies will depend on the affected service, its applicable agreement, and applicable law.
19. Website Disclaimers
To the fullest extent permitted by law, the Website and its informational content are provided on an "as is" and "as available" basis.
Make Well does not guarantee that its Website will always operate without interruption or error.
This disclaimer does not eliminate express commitments concerning purchased services or any statutory consumer rights.
20. Limitation of Liability
To the fullest extent permitted by applicable law, Make Well LLC and its owners, employees, and agents shall not be liable for indirect, incidental, special, or consequential damages arising from Website use or services where such damages may lawfully be excluded.
For claims arising solely from Website access or online transactions, Make Well's aggregate liability will not exceed the greater of the amount paid for the transaction giving rise to the claim or $100, except where prohibited by law.
These limitations do not apply to liability for personal injury caused by Make Well's negligence, gross negligence, reckless or intentional misconduct, fraud, or other claims that cannot lawfully be limited.
Any separate release concerning physical studio activities must be expressly accepted and is subject to applicable law.
21. Indemnification
To the extent permitted by law, you agree to indemnify Make Well against reasonable third-party claims, damages, and expenses arising from your unlawful conduct, material breach of these Terms, infringement of another person's rights, or negligent or intentional acts causing injury or property damage.
This obligation applies only to the extent a claim is attributable to your conduct and does not require you to indemnify Make Well for its own negligence or misconduct.
22. Suspension and Termination
Make Well may suspend or terminate services in response to material violations of applicable agreements, unlawful conduct, safety concerns, or other substantial contractual breaches.
Where appropriate, we may provide notice and an opportunity to correct the issue.
Immediate action may be taken where necessary to protect individuals, property, or operations.
Applicable refunds and outstanding payment obligations will be determined under the agreement governing the affected service and applicable law.
23. Changes to These Terms
Make Well may update these Terms as its services and operations evolve.
The current version will be published on the Website with its effective date.
Material changes affecting existing paid commitments will be handled with the notice or consent required by applicable law or the relevant agreement.
An update to these Terms does not automatically change an existing membership's agreed price, minimum term, or renewal provisions.
24. Governing Law and Disputes
These Terms are governed by Utah law, subject to any mandatory protections that apply.
Customers are encouraged to contact Make Well to resolve concerns informally.
Where legally permissible, disputes shall be brought before a court with appropriate jurisdiction in Salt Lake County, Utah.
Nothing in these Terms limits any right to bring a claim in another venue where such a right cannot lawfully be waived.
25. Severability and No Waiver
If a provision is found unenforceable, the remaining provisions continue to the extent permitted by law.
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
26. Entire Agreement and Conflicting Terms
These Terms and the additional agreements applicable to a transaction constitute the agreement governing that transaction.
In case of conflict, precedence is given to:
Individually executed written agreements or addenda
Specific terms accepted at purchase or booking
Applicable supplemental agreements, including Membership Terms
These Terms of Service
General operational policies
This order does not override mandatory legal rights.
